Acceptance of Terms

By accessing or using Echo ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not use our Service.

1. Service Description

Echo is a review management platform that:

• Aggregates reviews from multiple platforms (Google, Facebook, Trustpilot, Shopify, App Store, Play Store)
• Provides AI-powered response suggestions
• Syncs review data with CRM systems (Salesforce, HubSpot, Zendesk, Zoho, Freshdesk)
• Enables QR code review capture campaigns
• Offers email marketing tools for review collection

2. Account Registration

2.1 Eligibility

• You must be at least 18 years old
• You must provide accurate, current information
• You represent that you have authority to bind your company
• One account per company (multiple users allowed per account)

2.2 Account Security

• You are responsible for maintaining account confidentiality
• You must notify us immediately of unauthorized access
• You are responsible for all activities under your account
• We recommend enabling two-factor authentication when available

3. Subscription and Billing

3.1 Plans

• Solo: $129/month or $1,290/year (2 review sources, 2 locations, 5 products)
• Starter: $299/month or $2,990/year (3 review sources, 5 locations, 10 products, 1 CRM)
• Professional: $599/month or $5,990/year (4 review sources, 20 locations, 75 products, 2 CRMs)
• Business: $999/month or $9,990/year (6 review sources, 75 locations, 250 products, 3 CRMs, white label)
• Enterprise: Custom pricing starting at $2,499/month (6 review sources, 150 locations, 750 products, 5 CRMs, unlimited reviews)

3.2 Payment

• Subscription fees are billed in advance on monthly or annual basis
• Payments are processed securely through Stripe
• All fees are non-refundable except as required by law
• Prices may change with 30 days notice to existing customers
• Failed payments may result in service suspension

3.3 Free Trial

• 14-day free trial available for new customers
• No credit card required for trial
• Trial includes access to Trial tier features (2 review sources, limited storage)
• Account automatically downgrades to free tier after trial unless upgraded

3.4 Upgrades and Downgrades

• Upgrades take effect immediately with prorated billing
• Downgrades take effect at end of current billing period
• Downgrading may result in loss of access to premium features

4. Acceptable Use

4.1 You May:

• Use the Service for lawful business purposes
• Connect your own review platforms and CRM systems
• Generate AI responses to customer reviews
• Export your data at any time
• Invite team members to your account

4.2 You May NOT:

• Violate any laws or regulations
• Post fake, fraudulent, or misleading reviews
• Use the Service to send spam or unsolicited communications
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or copy our software
• Resell or redistribute the Service without authorization
• Scrape or harvest data from the platform
• Interfere with other users' access to the Service

5. Intellectual Property

5.1 Our Property

• Echo platform, code, design, and features are our intellectual property
• You receive a limited, non-exclusive, non-transferable license to use the Service
• Our trademarks and logos may not be used without written permission

5.2 Your Property

• You retain all rights to your customer data, reviews, and content
• You grant us a license to process your data to provide the Service
• We do not claim ownership of your business data

6. Data and Privacy

We process data according to our Privacy Policy. Key points:

• You are responsible for data accuracy and compliance with applicable laws
• You represent that you have rights to connect third-party accounts
• We encrypt data in transit and at rest
• You can export or delete your data at any time

7. Third-Party Services

• Echo integrates with third-party platforms (Google, Facebook, Salesforce, etc.)
• You must comply with each platform's terms of service
• We are not responsible for third-party service availability or changes
• You grant us permission to access your accounts on your behalf

8. Service Availability

• We strive for 99.9% uptime but do not guarantee uninterrupted access
• We may perform scheduled maintenance with advance notice
• We may modify or discontinue features with 30 days notice
• Emergency maintenance may occur without notice

9. Limitations of Liability

9.1 Service Provided "As Is"

• No warranties, express or implied
• No guarantee of specific results or business outcomes
• No liability for accuracy of AI-generated content
• No guarantee third-party integrations will remain available

9.2 Limitation of Damages

• Our total liability is limited to fees paid in the last 12 months
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for data loss if you have not exported backups
• Some jurisdictions do not allow liability limitations; they may not apply to you

9.3 Indemnification

You agree to indemnify and hold harmless Splocket, Inc. from claims arising from:

• Your use of the Service
• Violation of these Terms
• Violation of third-party rights
• Content you post through the Service

10. Termination

10.1 By You

• Cancel anytime from account settings
• Cancellation takes effect at end of current billing period
• No refunds for partial billing periods
• You may export your data before cancellation

10.2 By Us

• We may suspend or terminate accounts for Terms violations
• We may terminate with 30 days notice for any reason
• Immediate termination for fraud, illegal activity, or security threats
• Upon termination, your data will be deleted per our Privacy Policy

11. White Label (Business/Enterprise Only)

Business and Enterprise tier subscribers may:

• Customize platform branding and colors
• Remove "Powered by Echo" attribution
• Use custom domain for white label access

White label customers may not:

• Misrepresent ownership of the underlying platform
• Remove copyright notices from source code (if access granted)
• Resell the platform without written authorization

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles.

12.2 Arbitration

Disputes will be resolved through binding arbitration, not court proceedings, except where prohibited by law.

13. Changes to Terms

• We may update these Terms periodically
• Material changes will be notified via email 30 days in advance
• Continued use after changes constitutes acceptance
• You may terminate if you disagree with changes
